The Owls met Saints’ £2m asking price for the Poland striker, but were faced with further financial demands they were not prepared to meet.
Laws said: "We're disappointed, talks have been going on for quite a while.
"Southampton accepted a substantial offer but now they've changed their demands. It's been very frustrating."
Saints boss George Burley confirmed his desire to keep Rasiak. "I'm keen for him to stay and I think he wants to stay and fight for a spot."
The Saints boss added: "Sheffield Wednesday made a bid, I spoke to Grzegorz about it, and he knows there's competition for places here.
"Grzegorz naturally wants to be first-pick, but I've got four other top quality front players who all want to be in the team as well. As a manager, that's the sort of situation you want to be in."
